Amendment No. 4

This Amendment

to Contract No. CDOC6840 is made by the state of Washington,
Department of Corrections, hereinafter referred to as “Department”, and Value-Added
Communications, Inc., hereinafter referred to as “VAC”, for the purposes set forth herein.

WHEREAS the Federal Communications Commission (FCC) has issued order FCC 13-113
capping rates charged by providers of Inmate Calling Services (ICS) for interstate phone
calls; and

WHEREAS the order has been partially stayed by the United States Court of Appeals order
13-1280 on January 13, 2014; and

WHEREAS to comply with the FCC Order during the stay and to allow adequate time to
complete a competitive solicitation for ICS and ensure continuation of service at the end of
the current contract term.

NOW THEREFORE,

in consideration of the terms and conditions contained herein the
Department and VAC agree as follows:

1. No later than effective date of the FCC order VAC will implement new interstate rates of
.21/min for prepaid and debit calls and .25/min for collect calls. Interstate rates shall
remain at or below the FCC mandated rate caps during the term of this contract.
2. It is understood between the parties that the interstate rates charged do not include a
commission. The Minimum Account Guarantee (MAG) will be reduced to $4,778,400.
3. The Department intends to issue a competitive solicitation to continue services at the end
of the current term. However additional time beyond the current term is necessary to
promote competition due to uncertainty of the outcome of the current stay. The
Department intends to begin the solicitation once the stay is lifted or there is sufficient
clarity of allowable costs and charges to ensure that ICS providers may bid phone rates
that are fair and reasonable and in compliance with FCC requirements. To this end the
contract term is extended one year or until the completion and implementation of the
new contract, whichever is later.
All other terms and conditions remain in full force and effect. The effective date of this
amendment is the date of last signature.
